About these terms

These terms apply to all work Jacobs Consultancy (Pty) Ltd (registration number 2026/508534/07) ("we", "us") does for you ("the client"). By approving a quote, you agree to them. A signed proposal or contract for your project takes priority if anything differs.

Quotes and pricing

Every project is quoted individually based on its size and requirements. We do not have fixed prices. A quote is valid for 30 days and describes the work included. Anything outside that scope is quoted separately before we start it.

Deposits and milestones

Most projects start with a deposit, and the rest is invoiced at agreed milestones, for example after design approval and at launch. The exact amounts and dates are set out in your quote. Invoices are due within the period stated on them.

Ownership and intellectual property

Once the project is paid in full, ownership of the custom work we create for you, including designs and code, transfers to you. Until then, it stays ours. Third-party tools, open-source software, fonts and licensed assets remain under their own licences. We may show the finished work in our portfolio unless you ask us not to.

Your responsibilities

You agree to provide content, feedback, access and approvals on time, and to make sure that anything you give us (text, images, logos, data) is yours to use. Delays on your side may move the timeline.

Warranties

We do our work with care and skill, and we fix defects in our work reported within 30 days of launch at no charge. We cannot guarantee that software will be completely free of errors, or be responsible for third-party services such as hosting providers, payment gateways or APIs.

Limitation of liability

As far as the law allows, our total liability for any claim relating to a project is limited to the amount you paid us for that project. We are not liable for indirect or consequential losses, such as lost profits or data, but nothing here limits liability that cannot be limited by law.

Termination

Either side may end a project with written notice. You pay for the work done up to that point, and we hand over the completed work once it is paid. We may pause or end work if invoices remain unpaid.

Confidentiality

We keep your business information confidential and are happy to sign an NDA.

Governing law

These terms are governed by the laws of the country in which Jacobs Consultancy is registered. We will always try to resolve any issue by talking first.
